David Hagopian, Board Chairman, Founder
Mr. Hagopian is a Partner in the Orange County office of Carlton DiSante & Freudenberger LLP and is the Head of the Business Litigation Practice Group.
Mr. Hagopian has two decades of experience successfully advancing the legal goals and interests of business clients and employers throughout California and beyond.
He advances the interests of business clients in complex business litigation and class action matters in state and federal courts as well as before arbitration tribunals. Representative business claims he routinely litigates include the full panoply of business torts (e.g., fraud, negligent misrepresentation, breach of fiduciary duty, etc.), unfair competition, breach of contract and implied covenant, and rescission, as well as claims based on securities, business disputes (shareholder derivative, dissolution, accounting, etc.), complex insurance coverage, and real estate.
In addition to his business litigation practice, Mr. Hagopian also represents employers in all aspects of the employment relationship. When necessary, he litigates on their behalf in single plaintiff and class action matters in state and federal court, as well as before administrative agencies and arbitration tribunals. Representative employment claims he litigates include alleged wage and hour violations (overtime, rest periods, meal periods), unfair competition, discrimination, wrongful discharge, harassment, retaliation, breach of contract and implied covenant, defamation, invasion or privacy, and misappropriation of trade secrets.
Mr. Hagopian has tried cases and argued hearings in numerous state and federal courts throughout California and beyond. He also has handled numerous arbitrations.
Mr. Hagopian graduated Order of the Coif from the University of Southern California Law School in 1989. He received a B.A. in History/Minor in Classical Greek from the University of California, Irvine in 1985 (magna cum laude, phi beta kappa, university scholar, distinguished student scholar). Mr. Hagopian was previously an associate at Latham & Watkins, McCauley & Dubia, and Dorsey & Whitney, and a partner at Smith, Ellison & Harraka, and Holdsworth & Hagopian.
Ed Day, CEO, Founder
Edward Day is a results oriented executive with a track record in architecting business strategies to promote rapid growth environments. He has extensive knowledge in financial services and health care market segments and has spent the last decade formulating strategies, executing business models and technology initiatives for early stage companies such as TC³ Health and Healtheon/WebMD.
Mr. Day is currently the President of IntelStrategiessm, a company specializing in revenue growth and value creation for mid-market organizations. He was previously Co-Founder/Chief Strategy Officer at TC³ Health, a technology company providing loss control and risk analytics. Prior to founding TC³, he was VP Business Development at Healtheon/WebMD where he was responsible for product development and managing channel partners at one of the nation’s leading health care IT organizations. His previous engagements include a number of successful ventures with companies such as Pacific Life, Beech Street Corporation and the Institute for International Trade and Development.
During the Reagan Administration, he served as an International Economist to the Secretary of the Treasury focusing on financial information systems for international capital markets. Mr. Day is co-author on Foreign Portfolio Investment in the United States. Recently, he advised the Ministry of Finance of the Peoples Republic of China on international finance and comparative taxation. Mr. Day is an adjunct professor at California State University Fullerton on global risk management and international finance, lectured at University of California Irvine’s Graduate School of Management on technology and serves on several Boards. He is published on a range of topics, speaks extensively and has patents pending on loss control and risk technologies. He received a Masters degree in Development Banking from The American University in Washington, DC and a Bachelorette degree in Economics and Political Science from the University of California, Santa Barbara.
Jim Williams, President, Founder
Mr. Williams is an accomplished C-level Executive with over 30 years experience leading organizations ranging from early-stage, start-ups to large technology and operating entities within Fortune 100 companies. Jim spent 24 years in executive level management positions in the Financial Services Industry, with companies including CitiCorp, Security Pacific Bank and Bank of America. From 1993 to 2000, he served as the Chief Information Officer of PacifiCare Health Systems, a major national health plan. Before founding HST, he spent 5 years as the CEO of Health Savings Technology, LLC and 2 years as President and CEO of Smart Chip Technology, a publicly traded software technology company serving the electronic payments industry. As a member of corporate management teams, he has led the Information Technology and Operations areas in the activities associated with the acquisition and assimilation of over 30 companies within the financial services and health care industries. During his career, Mr. Williams has been a guest speaker on the subject of information technology at health care conferences and for technology and consulting companies. He has served as a Board Member for the Managed Care Executive Group, as well as, public and non-profit companies. He performed his undergraduate work at Indiana Central University and is a graduate of the Stonier Graduate School of Banking.
